Operator Terms
Effective Date: December 2, 2026
Ludik Évasion Operator Terms
Version 1.1 - effective as of December 2, 2026.
Reference language notice: This English translation is provided for convenience only. In case of discrepancy, inconsistency, or interpretation difference, the French version shall prevail.
These operator terms (the "Terms") are issued by Ludik Evasion, a SAS with a share capital of 1 000 euros, registered under RCS du Puy-en-Velay sous le numéro 933 100 042, with intra-community VAT number FR30933100042 and registered office at 751 route de Recours, 43800 Beaulieu, France (the "Publisher").
They govern access by professional operator organizations to the Ludik Évasion platform, available on the web at https://ludik-evasion-preview.lezo.app and through the mobile applications published under the Ludik Évasion brand (the "Platform").
1. Purpose and scope
1.1 The Platform allows the Publisher to design treasure hunt and interactive trail scenarios and to grant Operators operating licenses for those scenarios, and allows Operators to put Quests into operation, present them to Participants and sell Registrations to them.
1.2 These Terms are reserved for professionals acting for the purposes of their commercial, industrial, craft, liberal or non-profit activity. They do not apply to consumers. By using an Operator Account, the Operator represents that it acts for professional purposes and has the authority to bind the organization it represents.
1.3 The Terms are available at all times on the Platform, including before the contractual relationship is formed. The Operator's first use of the Operator Account constitutes acceptance of the Terms. Acceptance is recorded at the following moments. Where a Member joins the Operator Account by accepting an invitation, they accept the Terms by ticking the box provided for that purpose, and the Platform may record this acceptance together with the version of the Terms accepted and its date. Upon the purchase of an Operating License offered through a public offer, the Platform records the acceptance of the Operating License Terms under the conditions provided for therein.
1.4 These Terms are intended in particular to meet the obligations applicable to providers of online intermediation services under Regulation (EU) 2019/1150 of June 20, 2019 on promoting fairness and transparency for business users of online intermediation services.

3. Contractual documents
3.1 The relationship between the Publisher and the Operator is governed by the following documents, in decreasing order of priority:
- any specific terms signed by the Publisher and the Operator
- the Data Processing Agreement, for all matters relating to the processing of personal data carried out by the Publisher on behalf of the Operator
- the Operating License Terms, for all matters relating to Operating Licenses
- these Terms
- the User Terms, applicable to Members
3.2 These Terms prevail over the Operator's general purchasing conditions or any other document issued by the Operator, unless the Publisher agrees otherwise in writing.
4. Roles of the Publisher and LEZO
4.1 The Publisher operates the Platform under its brand and is its sole provider towards Operators. It determines the Scenarios offered, the Operating License offers, the Catalog and the operating rules of the Platform.
4.2 The Questovery software solution on which the Platform is built is provided to the Publisher by LEZO, which acts as the Publisher's technical service provider. LEZO is not a party to these Terms and assumes no obligation towards the Operator, its Members or Participants under them. Any request relating to the Platform must be addressed to the Publisher.
5. Access to the Platform and Operator Account
5.1 Operator Accounts are created by the Publisher. The Platform does not allow an Operator Account to be created on a self-service basis.
5.2 Members access the Operator Account by invitation. Members holding an owner or administrator role in the Operator Account issue, renew and cancel invitations and remove Members from the Platform. An invitation is personal, single-use and valid for seven (7) days.
5.3 The Operator provides accurate, complete and up-to-date information, in particular its corporate name, address, contact details, registration number and, where applicable, VAT number, and updates it without delay in the event of any change. It certifies that it offers through the Platform only services that comply with applicable law.
5.4 The Operator ensures that its Members comply with the User Terms and these Terms, and it is answerable for their actions on the Platform. It keeps its Members' access credentials confidential and informs the Publisher without delay of any compromise, unauthorized use or departure of a Member.
6. Operating Licenses and putting Quests into operation
6.1 The Operator acquires Operating Licenses from the Publisher under the conditions, in particular as to price, duration, quotas and payment, set out in the Operating License Terms and in the selected offer.
6.2 The acquisition of a new Operating License creates one Quest per covered Scenario. The Operator configures each Quest, in particular its operating name, time zone, operating dates, the geolocation points required by the Scenario, the prices offered to Participants within any maximum price set by the Operating License and its payment account, then submits the Operating License for the Publisher's validation.
6.3 The Publisher reviews the configuration and validates or refuses the Operating License. Any refusal is reasoned and communicated to the Operator, which may correct its configuration and submit it again. A Quest is accessible to Participants, in particular through the Catalog, a QR code or a Registration, only after such validation. Upon validation, the Publisher selects the Platform applications in which the Quest is presented.
6.4 The Scenario remains the property of the Publisher. The Quest reads its content by reference to the Scenario: corrections and changes made by the Publisher to the Scenario may apply to the Quests derived from it. The Operator does not modify the content of the Scenario; it manages the settings specific to its Quest.
7. Catalog and ranking parameters
7.1 A Quest appears in the Catalog of an application when the following conditions are met: the Operating License covering it has been validated or the Quest is operated by the Publisher itself, the Publisher has selected that application for the Quest, the Quest is not archived and registrations for the Quest are open. Quests operated by the Publisher therefore appear in the Catalog alongside the Operators' Quests.
7.2 Quests in the Catalog are presented according to the following parameters, in order of importance:
- where the user has allowed access to their device's location, the distance between that location and the Quest's starting point, the nearest Quests being presented first and Quests without a starting point being presented after geolocated Quests; this calculation is performed on the user's device
- where no location is available, between Quests located at the same distance or between Quests without a starting point, a fixed order based first on the display rank assigned to the Quest in the Catalog of each application, recorded by the Publisher when it selects the applications in which the Quest is presented, then on the name of the organization operating the Quest, in alphabetical order, then on the Quest's creation date
Quests operated by the Publisher appear in the same list as those of the Operators and are ranked according to the same parameters. The Publisher does not use the display rank to favor its own Quests over those of the Operators.
7.3 No direct or indirect remuneration paid by an Operator influences the presentation of Quests in the Catalog. The Commission level, the revenue generated or the Operating License held have no effect on the order of presentation, and the display ranks recorded by the Publisher are not assigned in return for any remuneration.
7.4 The Publisher informs Operators of any change to these parameters under the conditions of article 25.
8. Differentiated treatment
8.1 The Publisher may itself operate Quests derived from its Scenarios and offer them to Participants through the Platform. Such Quests appear in the Catalog alongside the Operators' Quests, under the conditions of article 7.1, and are presented according to the same ranking parameters, described in article 7.2. The Publisher does not use the display rank to favor the Quests it operates itself over those of the Operators.
8.2 Quests operated by the Publisher are subject neither to an Operating License nor to the Commission, and the corresponding paid Registrations are sold by the Publisher on its own payment account. This differentiated treatment results from the Publisher's position as owner of the Scenarios; it affects neither Operators' access to the Catalog, nor their ranking, nor their access to data described in article 14.
9. Sale of Registrations to Participants
9.1 The Operator is the seller of Registrations for its Quests and the provider of the activity offered to Participants. The contract relating to the Registration is concluded directly between the Operator and the Participant. The Publisher provides a technical intermediation service and is not a party to that contract, except for the Quests it operates itself.
9.2 The Operator freely sets the price of Registrations for its Quests. Where the applicable Operating License sets a maximum price, the Platform rejects a price above that price; any recommended price indicated by the Publisher is purely indicative and the Publisher imposes no minimum price. Prices are displayed inclusive of all taxes, in euros.
9.3 The Operator remains solely responsible for performing the activity sold, welcoming Participants, any cancellations, postponements and refunds, invoicing and the tax and social obligations relating to its sales, including determining and remitting the applicable value added tax.
9.4 A paid Registration is confirmed after the payment is captured; the corresponding team is then created and the Participant receives a confirmation containing their means of access to the Quest. Opening or closing registrations is configured by the Operator; closing does not prevent the finalization of a payment already initiated.
10. Payment through Stripe Connect
10.1 Paid Registrations are collected through Stripe Connect. The Operator opens and maintains a connected account with Stripe, accepts the Stripe terms of service applicable to connected accounts and provides Stripe with the information required under its verification procedures. The Publisher has no control over those terms and procedures.
10.2 Each Registration payment is a direct charge on the Operator's connected account. Funds are paid into that account, subject to the deduction of the Commission and of the fees charged by Stripe, which are borne by the Operator.
10.3 As long as its connected account is not able to accept payments, the Operator may offer only free Registrations.
10.4 The Operator's Members holding an owner or administrator role may refund a Paid Registration from the Platform; the refund then covers the full price and is executed on the Operator's connected account. Other refunds, as well as claims and disputes relating to Participants' payments, are handled by the Operator from its connected account, in accordance with Stripe's terms and its own terms of sale.
11. Commission
11.1 In consideration for the intermediation service, the Publisher receives a Commission on each paid Registration whose payment has been captured.
11.2 The Commission is equal to the applicable rate, expressed as a percentage, multiplied by the Registration price paid by the Participant, taxes included. The applicable rate results from the tiered schedule set out in the Operating License offer and frozen in each acquired right. Where that schedule sets a minimum Commission amount per Registration, the Commission may not be lower than that amount, nor exceed the Registration price. The tier is determined by the rank of the Registration among all paid Registrations captured for the Operator in respect of the Publisher's Quests since the start of their relationship; this count is neither reset by a renewal or by the acquisition of a new Operating License, nor reduced by a refund.
11.3 The Commission is collected by Stripe, on behalf of the Publisher, when the Registration payment is captured. In the event of a Registration refund, the Commission is reduced in proportion to the amount refunded, under the conditions set out in the Operating License Terms.
11.4 The Publisher makes available to the Operator, on the Platform or upon request, the details of the Commissions collected.
12. Operator obligations
The Operator undertakes in particular to:
- operate its Quests in accordance with the Operating Licenses, the Scenarios and the Publisher's reasonable instructions
- choose geolocation points and trails that are accessible and safe for Participants, and obtain the authorizations required to use the relevant locations
- inform Participants of the safety instructions, access conditions and rules applicable on site, and provide appropriate supervision, in particular where minors participate
- take out and maintain the insurance required for its activity
- comply with the regulations applicable to its activity, in particular as regards consumer protection, personal data, image rights, taxation and receiving the public
- not use the Platform for unlawful or misleading purposes or in breach of third-party rights, nor disrupt its operation or circumvent its security measures
- report to the Publisher any manifestly illegal content, in particular through the Platform's reporting page, as well as any security incident or abusive use of which it becomes aware
13. Participant information and consumer mediation
13.1 As seller, the Operator provides Participants, before the contract is concluded, with the information required by consumer law, in particular its identity and contact details, the main characteristics of the activity, its price inclusive of all taxes, the date and place of the activity, the cancellation and refund conditions, the existence or absence of a right of withdrawal and the contact details of the consumer mediator it is subject to. It makes its own general terms of sale available or, failing that, relies on the registration terms published on the Platform.
13.2 Before opening the sale of Paid Registrations, the Operator enters its seller identity: name, legal form, registration where applicable to its legal status, address, telephone, email address, and the name and website of the consumer mediator that actually covers its sales. The other information is required to open sales and order a Paid Registration. The Operator warrants the accuracy of this information, including whether registration applies, and keeps it up to date. For new profiles, the form applies the Platform's standard registration terms and their cancellation rules; it does not request drafted cancellation conditions or a link to the seller's own terms of sale. Previously recorded sale and cancellation terms are preserved when the seller identity is changed. The Platform presents the applicable information before the order and repeats it in the confirmation sent to the buyer. Free registrations do not require a seller profile in the Application; this does not exempt the Operator from the legal obligations applicable to its activity.
13.3 The Operator joins a consumer mediation scheme of its choice when required to do so and communicates its contact details to Participants. The declared mediator must actually cover the Operator and the relevant sales. The Platform's mediation agreement does not automatically cover Operators' sales. The Platform's mediator concerns its own services, within the scope of its agreement. For disputes concerning Registrations sold by the Operator, the Participant refers to that Operator's scheme.
13.4 The Operator alone answers Participants' requests relating to the activity sold, in particular regarding cancellation, refund and complaints. The Publisher may redirect to the Operator the requests it receives on those matters.
14. Access to data
14.1 The Operator has access, for its Quests and within the limits of the Platform, to the operating data required to run them, in particular teams, progress, answers, scores, rankings, end-of-game feedback, media and, where these features are enabled, live tracking positions and trail histories, as well as the statistical indicators configured by the Publisher. Payment data is accessible from its Stripe connected account.
14.2 The Publisher accesses the data provided or generated by the Operator and Participants on the Platform to the extent necessary to provide and secure the Platform, validate Operating Licenses, calculate the Commission, provide support and comply with its legal obligations. It consults the statistical indicators relating to each Operator's Quests to monitor its Scenarios and Operating Licenses.
14.3 The Publisher does not disclose an Operator's own data to other Operators, except for information necessarily visible in the Catalog or in rankings in which the relevant Quests take part.
14.4 Processing of personal data carried out in this context is subject to article 15.
15. Personal data
15.1 The Publisher acts as controller for the processing required to operate the Platform, in particular account management, authentication, security, the Catalog, Operating Licenses, the Commission, support and compliance with its legal obligations. This processing is described in the privacy policy published on the Platform.
15.2 The Operator acts as controller for the Participants' personal data processed in connection with its Quests and sales. The Publisher processes such data on behalf of the Operator, as processor, under the conditions of the Data Processing Agreement, which forms an integral part of these Terms.
15.3 The Operator informs Participants of the processing carried out under its responsibility, determines the applicable legal bases, obtains the necessary consents and authorizations, in particular for people's image and the participation of minors, and answers the data subject requests that concern it.
16. Intellectual property
16.1 The Platform, its software, interfaces, databases, trademarks and own content, as well as the Scenarios, remain the property of the Publisher, LEZO or their respective licensors. These Terms grant the Operator only a personal, non-exclusive and non-transferable right of access and use, limited to the duration of the relationship and to the operation of its Quests. Rights to operate the Scenarios are governed by the Operating License Terms.
16.2 The Operator retains its rights in the elements it provides, in particular its trademarks, logos and media. It grants the Publisher, for the duration of the relationship and to the extent necessary, a non-exclusive, royalty-free right to host, reproduce, technically adapt and display those elements on the Platform solely for the purposes of its operation, the presentation of its Quests and security. The Operator warrants that it holds the necessary rights in those elements.
16.3 The Operator shall not copy, extract, decompile or reuse all or part of the Platform or the Scenarios outside the rights expressly granted to it, except where mandatory legal provisions apply.
17. Availability and evolution of the Platform
17.1 The Publisher uses reasonable means to provide access to the Platform. Access may be interrupted, in particular for maintenance, updates, security, incidents or unavailability of a third-party service. The Publisher endeavors to inform Operators in advance of significant scheduled interruptions. No quantified availability level is guaranteed under these Terms.
17.2 The Publisher may change the Platform's features. Where a change significantly affects the Operator's rights or obligations, it is treated as an amendment to the Terms within the meaning of article 25.
18. Restriction, suspension and termination by the Publisher
18.1 The Publisher may restrict or suspend all or part of the Operator's or a Member's access to the Platform, or remove a Quest from the Catalog, in the event of the Operator's breach of these Terms or of the Operating License Terms, a risk to the safety of Participants or of the Platform, manifestly illegal content, fraud, a request from an authority or a legal obligation. The Publisher provides the Operator, on a durable medium, with a statement of reasons for its decision no later than when it takes effect.
18.2 The Publisher may terminate the entire relationship with an Operator by giving at least thirty (30) days' notice, notified on a durable medium together with a statement of reasons. This notice period does not apply where the Publisher is subject to a legal or regulatory obligation requiring it to terminate the relationship without respecting that period, where it exercises a right of termination for an imperative reason under national law, or where it demonstrates that the Operator has repeatedly breached these Terms.
18.3 The Operator may challenge the decision through the complaint-handling procedure provided in article 20. Where the decision is revoked, the Publisher restores access without undue delay.
18.4 The statement of reasons is not provided where the Publisher is subject to a legal or regulatory obligation not to provide the specific facts or circumstances or the reference to the applicable ground.
19. Term and end of the relationship
19.1 These Terms apply for an indefinite period from their acceptance. The Operator may terminate the relationship at any time by writing to the Publisher, subject to the commitments made under current Operating Licenses.
19.2 The closure of an Operator Account is carried out by the Publisher upon written request from an authorized representative of the Operator. It includes suspension of access, termination of active rights, handling of the Stripe connected account where applicable and an offer to export the available data.
19.3 After the end of the relationship, the Publisher retains the data necessary to comply with its legal obligations, in particular accounting obligations, and to evidence its rights, as well as the Quest history linked to Operating Licenses, for the applicable periods. Personal data processed on behalf of the Operator is handled in accordance with the Data Processing Agreement.
19.4 Articles 11, 16, 19, 22, 23 and 28 survive the end of the relationship for the time necessary for their performance.
20. Complaint handling
20.1 The Operator may submit free of charge any complaint relating to the operation of the Platform, a restriction, suspension or termination decision, the Catalog or the Commission, by email to [email protected] or by post to the Publisher's registered office. The complaint specifies the relevant Operator Account, the facts and the request.
20.2 The Publisher acknowledges receipt of the complaint, examines it diligently and in a manner proportionate to its importance and complexity, and communicates its response to the Operator in a clear and unambiguous manner.
20.3 The Publisher makes available to the public information on the functioning and effectiveness of this complaint-handling system where regulations so require.
21. Mediation
21.1 In the event of a dispute not resolved through the complaint procedure, the Publisher and the Operator may resort to mediation. The Publisher agrees to engage in good faith in mediation conducted by one of the following mediators:
- the Médiateur des entreprises, the French public inter-company mediation service
- the Centre de médiation et d'arbitrage de Paris (CMAP)
21.2 Recourse to mediation is voluntary. It does not deprive either party of the right to initiate judicial proceedings at any time. The Publisher bears a reasonable proportion of the costs of mediation, determined on the basis of all relevant elements of the case.
22. Liability
22.1 The Publisher is bound by an obligation of means in providing the Platform. It is not liable for the performance of the activity sold by the Operator, the content and settings provided by the Operator, the relationships between the Operator and Participants, or third-party services, in particular Stripe, network operators and app stores.
22.2 The Publisher is not liable for indirect damage, in particular loss of revenue, customers, data or reputation. Except in the case of personal injury, willful misconduct, gross negligence, the cases set out in article 12.3 of the Operating License Terms or liability that cannot be limited under a mandatory rule, the Publisher's total liability under these Terms and the Operating License Terms, taken together, is limited to the total amount paid by the Operator to the Publisher, being the price of Operating Licenses and Commissions net of refunds, during the twelve (12) months preceding the event giving rise to liability. This cap is the one set out in article 12.2 of the Operating License Terms and is not cumulative with it.
22.3 The Operator indemnifies the Publisher against any claim by a Participant or a third party arising from the activity it operates, its content, its sales or a breach of its obligations under these Terms.
23. Confidentiality
Each party keeps confidential the non-public information communicated by the other party in the course of the relationship, in particular commercial conditions and operating data, and uses it only for the purposes of these Terms. This obligation does not apply to information that is public, already known or independently developed, nor to disclosures required by law or by an authority. It remains in force for three (3) years after the end of the relationship.
24. Force majeure
Neither party is liable for a failure caused by a force majeure event within the meaning of article 1218 of the French Civil Code. The affected party informs the other without delay. If the impediment lasts more than thirty (30) days, either party may terminate the relationship in writing, without compensation.
25. Amendments to the Terms
25.1 The Publisher may amend these Terms. Any amendment is notified to Operators on a durable medium, in particular by email, at least fifteen (15) days before it takes effect. A longer period is granted where the amendment requires the Operator to make significant technical or commercial adaptations.
25.2 An Operator that refuses the amendment may terminate the relationship before the notice period expires, with effect within fifteen (15) days from receipt of the notification. Submitting a new Quest or a new Operating License during the notice period constitutes a waiver of the notice period, except where that period is at least thirty (30) days.
25.3 The notice period does not apply where the amendment results from a legal or regulatory obligation requiring the Terms to be amended within a shorter period, or where it is necessary to address an unforeseen and imminent danger to the Platform, Participants or users, in particular relating to fraud, malware, spam or data breaches.
25.4 No amendment has retroactive effect, except where it results from a legal or regulatory obligation or is beneficial to the Operator.
26. Miscellaneous
26.1 Distribution channels. The Publisher presents Quests on the Platform, on the website https://ludik-evasion-preview.lezo.app and in the mobile applications published under the Ludik Évasion brand. It does not use any affiliate program for Operators' Quests.
26.2 Operator's other channels. These Terms do not prevent the Operator from offering its activities by other means or under other conditions, subject to the rights attached to the Scenarios set out in the Operating License Terms, which state the grounds for the applicable restrictions.
26.3 Independence. The parties are independent contracting parties. No provision creates an agency, partnership or subordination relationship between them.
26.4 Assignment. The Operator may not assign its rights and obligations without the Publisher's prior written consent.
26.5 Partial invalidity and waiver. The invalidity of a provision does not affect the others. Failure to enforce a provision does not constitute a waiver of the right to enforce it later.
26.6 Evidence. Computer records kept in the Platform's systems under reasonable security conditions are evidence of access, actions, orders, payments and communications, unless proven otherwise.
26.7 Contact. Any question regarding these Terms is addressed to the Publisher at [email protected] or by post at the following address: Ludik Evasion, 751 route de Recours, 43800 Beaulieu, France.
27. Language
These Terms are drafted in French. A translation may be provided for information purposes. In the event of any conflict between the versions, the French version prevails.
28. Governing law and jurisdiction
These Terms are governed by French law.
Failing amicable resolution or mediation, and subject to mandatory rules, any dispute relating to their formation, interpretation, performance or termination falls within the exclusive jurisdiction of the competent courts for the place of the Publisher's registered office, including in the event of multiple defendants or third-party claims.
